This Brand Owner Revenue & Payout Policy (“Policy”) governs how revenue is earned, held, released, and paid out to brand owners on the PopKup platform (“Platform”). PopKup operates as an influencer-based e-commerce marketplace connecting brand owners with influencers (including dropshippers) who promote and sell products through storefronts and campaigns.
By registering as a brand owner or using the platform to sell products, you agree to this policy in addition to PopKup’s Terms of Service, Refund & Returns Policy, and Dispute Resolution Policy, Acceptable Use Policy and Privacy Policy.
1. Scope and Application
This policy applies to:
- a. All brand owners listing or selling products on PopKup.
- b. All revenues generated from product sales via influencer storefronts, campaigns, or direct brand storefronts.
- c. All payout, settlement, deduction, and revenue-hold mechanisms are implemented by PopKup.
PopKup acts as a transaction facilitator and marketplace operator and does not purchase or resell brand owner products.
2. Revenue Structure
2.1 Gross Revenue
Gross revenue refers to the total amount paid by a buyer for a completed order, excluding:
- a. Influencer commissions
- b. Platform service fees
- c. Payment processing fees
- d. Taxes, duties, or statutory charges (where applicable)
2.2 Net Revenue
Net revenue is the amount payable to the brand owner after all applicable deductions, including:
- a. Influencer commissions
- b. PopKup platform fees
- c. Refunds, chargebacks, or adjustments
- d. Any penalties or recoveries permitted under PopKup policies
3. Escrow and Revenue Hold
- a. All buyer payments are placed in temporary escrow upon successful checkout. Funds remain in escrow until:
- i. Delivery is confirmed, and
- ii. The platform’s 7-day refund window has elapsed without an approved refund or dispute.
- b. PopKup reserves the right to extend the hold period where:
- i. A dispute, refund request, or investigation is ongoing.
- ii. Delivery confirmation is delayed or inconclusive.
Escrow is designed to protect buyers, influencers, and brand owners while ensuring transaction integrity.
4. Payout Eligibility
Brand owners become eligible for payout when:
- a. Orders are successfully delivered and confirmed.
- b. The 7-day refund window has passed.
- c. No active disputes, chargebacks, or investigations exist on the order.
- d. The brand owner account is in good standing and compliant with PopKup policies.
Eligibility does not guarantee immediate payout.
5. Payout Method and Timing
- a. Payouts are processed through PopKup’s supported payment channels.
- b. Payout schedules, minimum thresholds, and supported currencies may vary by country and are subject to change.
- c. PopKup does not guarantee fixed payout timelines and shall not be liable for delays caused by:
- i. Banking institutions
- ii. Payment processors
- iii. Regulatory or compliance reviews
Brand owners are responsible for ensuring that payout details are accurate and up-to-date.
6. Deductions and Adjustments
PopKup may deduct or adjust Brand Owner revenue for:
- a. Approved refunds or replacements.
- b. Chargebacks or payment reversals.
- c. Influencer commission payouts.
- d. Penalties arising from policy violations.
- e. Costs associated with failed delivery attributable to the brand owner.
Where applicable, PopKup may offset deductions against future earnings.
7. Refund and Chargeback Impact
- a. If a refund is approved due to the brand owner's fault, the refund amount will be deducted from the brand owner’s escrowed or future funds.
- b. If funds have already been released, PopKup reserves the right to recover the amount from subsequent payouts.
- c. Chargebacks initiated outside the platform may result in additional fees or account review.
- d. Repeated refund or chargeback issues may lead to account suspension or termination.
8. Brand Owner Responsibilities
Brand owners are responsible for:
- a. Accurate product descriptions and pricing.
- b. Timely order fulfillment and delivery.
- c. Compliance with local consumer protection and e-commerce laws.
- d. Responding to disputes or refund investigations when requested.
Failure to meet these obligations may affect eligibility for payout.
9. Account Review and Enforcement
PopKup reserves the right to:
- a. Place revenue holds during investigations.
- b. Limit or suspend payouts where risk, abuse, or non-compliance is detected.
- c. Terminate Brand Owner accounts for repeated or serious violations.
Enforcement actions follow PopKup’s warnings, suspension, and termination framework.
10. Taxes and Regulatory Compliance
- a. Brand owners are solely responsible for determining, reporting, and remitting applicable taxes.
- b. PopKup does not provide tax, legal, or financial advice and may issue transaction records for reporting purposes where required.
11. Limitation of Liability
PopKup is not liable for:
- a. Business losses, revenue expectations, or indirect damages.
- b. Delays caused by third-party service providers.
- c. Buyer conduct beyond PopKup’s reasonable control.
12. Policy Updates
PopKup may amend this policy at any time. Continued use of the Platform constitutes acceptance of the updated Policy.
